Terms of Service

1. Our services

We design, build, deploy and maintain AI automations and related automation for your business, as described in your agreement with us. The specifics of each engagement are confirmed in writing before we begin.

2. Month-to-month retainer

Services are provided on a monthly retainer, billed in advance for the coming month. Your retainer covers the automations and support described in your chosen plan.

3. Cancellation — no long-term contract

You are never locked into a long-term contract. After your first 30 days, you may cancel at any time. We’ll wind down at the end of your current paid month: we’ll export your data and document what was built so you can take it elsewhere. Paid retainer fees are non-refundable, and your licence to use the automations ends when the retainer does (see Section 5).

4. Your responsibilities

You agree to give us the access, information and approvals we need to deliver your services, and to use our automations lawfully and as intended. You’re responsible for the accuracy of the data and instructions you provide.

5. Intellectual property and licensing

While your retainer is active, you have a licence to use the automations we build for you. If you cancel, we wind down at the end of your paid month and the licence ends with it — we’ll export your data and document what was built so you can take it elsewhere. We retain ownership of our underlying tools, frameworks and methods. Your own data and content remain yours.

6. Confidentiality

We hold confidentiality in the highest regard. We will sign a legally binding Non-Disclosure Agreement (NDA) on request. Once signed, any information you exchange with us under it remains confidential for 2 years from the date it is shared. Each side agrees to protect the other’s confidential information and to use it only for the purpose of the engagement.

7. Disclaimers

Our automations are powerful tools, but AI is not infallible. We provide our services with care and skill, but cannot guarantee specific outcomes or uninterrupted, error-free operation. You should keep appropriate human oversight of important decisions.

8. Limitation of liability

To the extent permitted by law, our total liability for any claim is limited to the retainer fees you paid us in the three months before the claim arose. We are not liable for indirect or consequential losses.

9. Insurance

We carry $1M CAD general liability insurance and $2M CAD errors & omissions (E&O) coverage for the services we provide, so you can bring us into your operations with confidence.

10. Governing law

These terms are governed by the laws of British Columbia, Canada, and the courts located there have jurisdiction over any dispute.

11. Changes to these terms

We may update these terms from time to time. We’ll revise the date above and notify active clients of material changes.
